BETWEEN: Just Do Property and The listee
Just do Property office is at Unit 4 Vista Place, Coy Pond Business Park, Ingworth Road, Poole,BH12 1JY Company No 8079648 (‘‘We’, ‘us’ or ‘our’); and
The listee(‘You’, ‘your’ or ‘yourself’)
1.1 In this Agreement, unless inconsistent with the context or otherwise specified the following definitions will apply:
‘Website’ an online website for the provision of providing property information also known as Just Do Property Ltd
‘Commencement Date’ the date of this Agreement;
‘Staff Member’ an individual member of your organisation authorised by you in accordance with the terms of this Agreement to access and use the Platform;
‘Term’ the period starting on the Commencement Date and ending on the date of termination of this Agreement in accordance with clause 3;
‘We’, ‘us’ or ‘our’ Just Do Property Ltd;whose office is at office is at Unit 4 Vista Place, Coy Pond Business Park, Ingworth Road, Poole, BH12 1JY Company No 8079648
‘Website’ the website at www.justdoproperty.co.uk or www.justdoproperty.com and or such other web address as we notify you from time to time;
‘You’, ‘your’ or ‘yourself’ is X Company of
2. Directory listing guidelines
Just Do Property reserves the right to refuse, omit, suspend or change the position of any advert accepted for inclusion in the Directory.
All new Listings will be checked by an editor before the Listing goes live on the Website. This is so we can check that links are working, and proof-read content for spelling & grammatical errors.
Adverts are purchased for a minimum of 12 calendar months and will remain in the Just Do Property Business Directory for the duration of the subscription. However, please note the following:
Adverts will be automatically removed from the Directory at any time where they have been purchased by a Just Do Property member who subsequently, for whatever reason, discontinues his/her membership or has his/her Just Do Property membership revoked.
We reserve the right to reject any Listings that we do not deem appropriate for the site. In this case any money paid would be refunded in full.
If you cancel a Listing half way through a Listing period; you will not be entitled to refund of the time remaining.
You will be sent a renewal notice 30 days before your Listing is due for renewal. Should you not make payment by the renewal date your listing will be removed or hidden until we receive payment from you.
You are responsible for not disclosing the passwords enabling access to the Website to anyone who has not accepted these website conditions.
3.1 The Term shall commence on the Commencement Date and shall remain in force for 12 months until 30 days written notice from either of us to the other. Such notice may be given following the expiry of the 11th calendar month after the Commencement Date.
3.2 On the termination of this Agreement for any reason you and your Staff Members shall cease to be entitled to access and use the Platform.
3.3 The term will last for 12 months following the commencement of the agreement.
3.4 Either party can terminate this agreement from 6 months after the commencement of the agreement.
4.1 You agree to pay an annual fee as per the directory package fees.
4.2 Payments can be paid by bank transfer or paypal.
4.3 You agree that non-payments of more than 30 days may result in the possible removal from the Website and agree to pay the full outstanding contractual fees including notice period with immediate effect.
5. Services Access
5.1 We may need to temporarily suspend access to the Website for possible ‘maintenance upgrades or repairs’ and if so, we would endeavour to notify all users of this occurrence if permitted.
6.1 Any error or omission in any page posted on the Website shall be subject to correction or deletion (as appropriate) without any liability on our part.
6.2 We reserve the right to update and make changes to the Website at any time without notice.
6.3 The content of the Website, any dispute arising out of the Website, and this Agreement are all governed by English law and subject to the exclusive jurisdiction of the English Courts.
7. Copyright and Trade Marks
7.1 The copyright and other intellectual property rights in the contents of the Website are owned by JUST DO PROPERTY LTD and protected by law.
7.2 You may download, store and use information contained in pages from the Website for your own personal use and research or that of our business. You must credit Just Do Property and the associated author.
7.3 Any rights not expressly granted in these terms are reserved.
8. Linking Policy
8.1 The Website may include links to other website that may be of interest to their subscribers. We do not endorse or approve and have no responsibility for the content of any website to which the Website links.
8.2 For the avoidance of doubt, no authority is given (implied or expressly) by us to link to any of the content that appears on the Website or to use a representation of any of the firm's names or logos, trademarks, brand names contained on the Website.
9.1 We will not disclose any information posted by you on the Platform to any third party without your prior agreement.
11 Agency, partnership This Agreement shall not constitute or imply any partnership, joint venture, agency, fiduciary relationship or other relationship between the parties other than the contractual relationship expressly provided for in this Agreement.
12 Data protection The parties undertake to comply with the provisions of the Data Protection Act 1998 and any related legislation in so far as the same relates to the provisions and obligations of this Agreement.
13 Amendments This Agreement may not be released, discharged, supplemented, interpreted, amended, varied or modified in any manner except in writing signed by an authorised representative of each of the parties to this Agreement.
14 Assignment This Agreement is personal to the parties and, this Agreement nor any rights, licenses or obligations under it may be assigned by either Party without the prior written approval of the other Party.
15 Entire agreement This Agreement supersedes all prior agreements, arrangements and undertakings between the Parties. The Parties confirm that they have not entered into this Agreement on the basis of any representation that is not expressly incorporated into this Agreement.
16 Notices All notices under this Agreement shall be in writing.
17 Severance If any provision of this Agreement is prohibited by law or judged by a court to be unlawful, void or unenforceable, the provision shall, to the extent required, be severed from this Agreement and rendered ineffective as far as possible without modifying the remaining provisions of this Agreement, and shall not in any way affect any other circumstances of or the validity or enforcement of this Agreement.
18 Successors and assignees This Agreement shall be binding upon, and insure to the benefit of the Parties and their respective successors and permitted assignees, and references to a Party in this Agreement shall include its successors and permitted assignees.
19 Waiver No delay, neglect or forbearance on the part of either Party in enforcing against the other Party any term or condition of this Agreement shall either be or be deemed to be a waiver or in any way prejudice any right of that Party under this Agreement.
20 Counterparts This Agreement may be executed in any number of counterparts or duplicates, each of which shall be an original, and such counterparts or duplicates shall together constitute one and the same agreement.
21 Sub-contracting The User must perform all of their obligations under this Agreement personally and not through agents or sub-contractors.
22 Costs and expenses Each Party shall bear its own legal costs and other costs and expenses arising in connection with the drafting, negotiation, execution and registration (if applicable) of this Agreement.
